VPN.COM BROKERAGE AGREEMENT · STANDARD TERMS
Dated —, between — ("you") and VPN.com LLC, PO Box 33623, Decatur, GA 30033 ("VPN.com").
1. You appoint us as your broker. You grant VPN.com the exclusive right to negotiate and facilitate the acquisition of —, plus any other names you add in writing. We act solely as your representative; you keep final approval on every transaction.
2. No fee until you close. Standard commission of 15% of the transaction price (minimum $5,000), due at closing through Escrow.com. No upfront cost.
3. Term & exclusivity. 90 days; VPN.com is your sole broker for the Asset, with a 180-day tail on parties we introduce.
4. Confidentiality. Your identity, intentions, and prices stay confidential and survive the term.
5. How we work. Good faith, Escrow.com, independent contractor; not legal/tax/financial advice.
6. Authority & limits. You have authority to transact; liability capped at fees received; you cover third-party claims.
7. Disputes. Georgia law; binding AAA arbitration in Atlanta. 8. Signing. Full closing agreement follows; typed name = e-signature.
This agreement gives us the exclusive right to act as your broker.
